Maison Labs grants Client a non-exclusive, non-transferable right to access and use the Services solely for deployment on the Client’s central website, subject to this ToS and the Master Services Agreement (“Agreement”). This ToS or the Agreement do not grant Client any rights to deploy or sublicense the Services to individual member hotels. Access and use of the Services by Client’s member hotels shall be governed by separate agreements between Maison Labs and each member hotel. Notwithstanding the foregoing, the pricing and feature terms for member hotels are set forth in the applicable Exhibits, but no member hotel shall be deemed a party to or third-party beneficiary of this Agreement. The definitions in the Agreement shall have the same meaning under this ToS.
Client shall not (a) reverse engineer, decompile, or disassemble the Services; (b) use the Services for unlawful purposes; (c) sublicense, sell, or otherwise transfer the Services except as expressly permitted; (d) use the Services to infringe the rights of any third party; (e) use any output data to replicate or develop a product or service that competes with Maison Labs’ offerings; or (f) train or fine-tune models using the output data without prior written consent from Maison Labs.
Maison Labs will use commercially reasonable efforts to provide 99.5% uptime, excluding scheduled maintenance and force majeure events.
Maison Labs will provide standard support via email and online channels during term of the Agreement
Maison Labs will implement reasonable administrative, technical, and physical safeguards to protect Client Data. Data processing is governed by current Data Processing Agreement (“DPA”) in place governing the Services.
Client retains all rights, title, and interest in and to the data submitted through or generated by its use of the Services (“Client Data”). Nothing in this Agreement shall be construed as transferring ownership of Client Data to Maison Labs.
Client grants Maison Labs a non-exclusive, worldwide, royalty-free license to use, reproduce, distribute, and analyze Client Data solely to:
(a) provide and improve the Services;
(b) ensure security, reliability, and performance;
(c) develop anonymized and aggregated data sets, models, or analytical products derived from usage across multiple clients, provided such data cannot identify Client or any User; and
(d) use with any feedback to develop and new Intellectual Property related to the Services.
Maison Labs may use data derived from Client Data, provided such data is aggregated and anonymized so that neither Client nor any individual can be identified, for purposes including but not limited to benchmarking, analytics, product development, and commercialization. Maison Labs will not use Client Data that is not anonymized without Client’s express written approval, which shall not be unreasonably withheld.
It is a material inducement to Client to enter into this Agreement that no use of any data, regardless of form, shall be beyond that which is authorized herein.
Maison Labs will use best efforts to ensure that all use of Client Data, including any derived or anonymized data, complies with applicable privacy laws, including but not limited to the General Data Protection Regulation (GDPR), the California Consumer Privacy Act (CCPA), and any other relevant data protection laws.
Maison Labs may use subprocessors to provide the Services, subject to appropriate data protection obligations. A current list of subprocessors is available upon request.
Maison Labs will use best efforts to maintain industry-standard technical and organizational measures to protect Client Data against unauthorized access, loss, or disclosure.
Client is solely responsible for reviewing, moderating, and approving all information submitted by Client and its Users to the Services prior to publication or reliance, and for ensuring compliance with all applicable laws and regulations.
Upon written request, Maison Labs will make available to Client a copy of Client’s input and output data, including chatbot transcripts, in a commonly used machine-readable format. Maison Labs shall have up to thirty (30) days to fulfill such requests.
Client may use the data generated through the Services and provided to Client by Maison Labs, including chatbot responses and transcripts, solely for its internal business operations. This right does not grant Client any ownership or rights to the underlying software, system logic, prompt structures, or proprietary workflows used to generate such data.
Except as set forth under this ToS and the Agreement, Maison Labs retains all intellectual property rights to the Services, and does not grant any additional license to such, including all rights to the models, prompt logic, algorithms, response workflows, interfaces, and underlying technologies used by Maison Labs to deliver the Services.
Maison Labs may update or modify the Services, provided such changes do not materially diminish functionality. Maison Labs may suspend access for material breach, security risk, or legal compliance, with prompt notice to Client.
Maison Labs warrants that it will provide the Services in a professional manner. Except as expressly stated, the Services are provided "as is" and "as available." Maison Labs does not warrant that the Services, including any generative AI outputs, will be error-free, accurate, or suitable for any particular purpose. Maison Labs disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.
Client acknowledges that the Services utilize generative artificial intelligence and automation, and that outputs may be unpredictable, inaccurate, or inappropriate. Client is solely responsible for reviewing, moderating, and approving all outputs prior to publication or reliance, and for ensuring compliance with all applicable laws and regulations.
To the maximum extent permitted by law, Maison Labs’ aggregate liability for all claims arising under or in connection with this Agreement or the Services, whether in contract, tort, or otherwise, shall not exceed the total fees paid by Client to Maison Labs in the twelve (12) months preceding the event giving rise to the claim. In no event shall Maison Labs be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, or business opportunities, even if Maison Labs has been advised of the possibility of such damages.
Each party will indemnify, defend, and hold harmless the other party from and against any third-party claims, damages, or liabilities arising from its own gross negligence or willful misconduct.
Client will comply with all applicable laws, including export control and data privacy regulations, in connection with its use of the Services.
Maison Labs also reserves the right to periodically update or modify the Services, this ToS, and the DPA after the Effective Date of the Agreement, and any updates shall supersede any earlier versions thereof and be incorporated in the Agreement and these ToS, by posting a revised version online. Any material changes will be communicated to Client at least thirty (30) days in advance. Continued use after the effective date of any update constitutes acceptance of said terms.
These ToS are governed by the laws of the State of Delaware, without regard to conflict of law principles.
